5Client Engagements & Service Agreements
All service engagements are subject to a formal written agreement (Statement of Work, Proposal, or Service Contract). Such agreements will specify:
- Scope of work and deliverables
- Project timelines and milestones
- Fees, payment schedule, and invoicing terms
- Roles and responsibilities of both parties
- Acceptance criteria and revision policy
- Confidentiality obligations
No work will commence until a signed agreement and any applicable deposit or advance payment has been received, unless explicitly agreed otherwise in writing.
6Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during a project engagement. We will not disclose your confidential business information, project details, or data to third parties without your consent, except where required by law.
Specific confidentiality obligations may be set out in a separate Non-Disclosure Agreement (NDA) or within the service agreement, which will take precedence over this general clause.
7Payment Terms
Payment terms are specified in each individual service agreement. Unless otherwise agreed in writing:
- Invoices are due within 14 calendar days of the invoice date
- Projects may require an advance deposit before work commences
- Late payments may attract interest at a rate specified in the service agreement
- We reserve the right to suspend or terminate services for non-payment
- All fees are exclusive of applicable taxes (GST, etc.) unless stated otherwise
Refund eligibility is subject to the terms of the specific service agreement. In general, deposits for services already commenced are non-refundable.

- Actions of third-party service providers used in delivering services
Our total cumulative liability to any client for any claim arising from a service engagement shall not exceed the total fees paid by that client for the specific project giving rise to the claim, in the twelve (12) months preceding the claim.

- We may terminate immediately if you breach these Terms or any service agreement
- Upon termination, you will be invoiced for all work completed up to the termination date
